Zirofi Terms
1. Introduction
Welcome to Zirofi. These Terms & Conditions (“Terms”) govern your use of our platform and services. By accessing or using Zirofi, you agree to comply with these Terms. If you do not accept them, you must stop using the service immediately.
Zirofi is a technology platform operated by Nexicode Ltd (Company No. 15555102). Zirofi does not process, hold, or transmit funds. All payments are conducted through a regulated Payment Initiation Service Provider (PISP) authorised by the Financial Conduct Authority (FCA).
Zirofi is not a bank, financial institution, or regulated payment service provider. Our role is to provide businesses with the tools to initiate and manage secure bank transfers using Open Banking technology.
2. Our Role & Responsibilities
Zirofi enables businesses to:
Log in and generate payment requests
Display dynamic QR codes or payment links
Let customers initiate payments via their own bank app
Zirofi does not:
Handle, hold, or transmit funds
Act as a regulated financial service provider
Guarantee transaction success or speed
All regulated activity is handled exclusively by our FCA-authorised payment partner. Zirofi acts solely as a technical facilitator.
3. How Zirofi Works
Merchants input a payment amount via their secure dashboard
A QR code or payment link is generated
Customers scan the QR code or click the link
Customers select their bank and approve the payment via their mobile banking app
The funds are sent directly from the customer’s bank to the merchant’s account
While payments often settle instantly, bank transfers can take up to two hours, depending on the customer’s bank.
Zirofi never sees, stores, or accesses customer login credentials.
4. Business User Responsibilities
By using Zirofi, you agree to:
Use the platform for lawful business purposes only
Provide accurate business and banking information
Handle all refunds, disputes, and receipts directly with your customers
Comply with UK AML laws, and perform any required customer due diligence
Avoid engaging in prohibited or high-risk activities (see Section 5)
We may suspend or terminate access without notice for breaches, unlawful activity, or reputational risk.
5. Restricted & Prohibited Use
You must not use Zirofi for:
Fraudulent, deceptive, or unauthorised activity
Illegal or high-risk sectors, including but not limited to:
Adult entertainment
Unlicensed financial services
Gambling or betting services
Counterfeit or grey-market goods
Weapons, drugs, or controlled substances
Multi-level marketing or pyramid schemes
Cryptocurrency-related payments (unless pre-approved)
Zirofi reserves the right to refuse service to any business at its discretion.
6. Customer Protection & Disclaimers
Zirofi does not verify the legitimacy of merchants
Customers should only complete payments with businesses they trust
Zirofi does not handle refunds or chargebacks
Payment receipts are for confirmation only and may not qualify as legal invoices
Payment times may vary based on the customer’s bank
Zirofi is not liable for payment errors, delays, or disputes between customers and merchants.
7. Data Protection & GDPR
Zirofi complies with the UK General Data Protection Regulation (GDPR).
For some payment flows, Zirofi and its regulated payment partner act as joint data controllers under GDPR Article 26
Personal and transactional data may be shared solely to fulfil the payment and maintain audit trails
Each controller is independently responsible for responding to data rights requests

8. Subscription & Fees
Access to Zirofi is billed via a monthly subscription, payable in advance.
All fees are non-refundable, even in case of cancellation
We may revise pricing at any time with 30 days' notice
Failure to pay may result in suspension or termination
9. Refunds & Disputes
Zirofi does not process or mediate refunds.
All refund requests must be resolved directly between the business and the customer
Zirofi is not responsible for chargebacks, lost funds, or disputed amounts
10. Platform Availability & Limitations
Zirofi is provided “as is” and “as available.” We do not guarantee:
Uninterrupted access to the platform
Compatibility with all devices or browsers
Instant payment success in all cases
Zirofi is not liable for failures caused by:
Internet connection issues
Bank or PISP downtime
User error or incorrect input
11. Intellectual Property
All intellectual property related to Zirofi — including logos, platform design, and system workflows — is owned by Nexicode Ltd.
You may not copy, modify, or reverse engineer any part of the platform.
12. Termination
We may suspend or permanently revoke your access if:
You breach these Terms
You use the platform for illegal or high-risk activity
Your actions pose legal or reputational risk to Zirofi
You fail to pay subscription fees
You may cancel at any time by providing 7 days’ written notice. No refunds will be issued.
13. Changes to These Terms
We may update these Terms at any time. If changes are material, we will:
Notify you by email and/or via our website
Provide at least 30 days’ notice before they take effect
Continued use of Zirofi constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be handled exclusively in the courts of England and Wales.
How Usage Works
A “payment request” is recorded each time you generate a new payment link, regardless of whether the customer completes the transaction.
Why we count it this way:
Every link triggers a unique, secure payment flow
It logs usage for your account and audit trail
It gives you full control over when and how you get paid
This model ensures our pricing remains:
Flat-rate, no percentage cuts
Transparent, no hidden charges
Predictable, you’re never charged based on the amount sent
Whether you're requesting £50 or £5,000, the cost to you is the same.
You’re only billed based on how many links you generate, not whether they’re completed or abandoned.
Pro Tip: Only generate a payment link when your customer is ready to pay. It’s the simplest way to maximise your usage.
