Merchant Terms of Service

These Merchant Terms of Service apply to your use of Zirofi.
These terms are between:
Zirofi: Zirofi is a trading name of Nexicode Ltd, a company registered in England and Wales. Company number 15555102, referred to as "Zirofi", "we", "us" or "our"; and
Merchant: the business, company, sole trader, partnership, organisation or other entity that creates or uses a Zirofi account, referred to as "you" or "your".
By creating a Zirofi account, accessing the Zirofi app, creating a payment page, sharing a payment link or QR code, or allowing any authorised user to use Zirofi on your behalf, you agree to these terms.
1. What Zirofi is
Zirofi is a lightweight pay-by-bank payment platform for businesses.
Zirofi allows you to create a branded payment page, payment link and QR code for your customer. Your customer can open the payment page, review the amount and payment reference, and click Pay Now. When they do this, Zirofi attempts to create a secure bank payment session through regulated payment infrastructure and redirects the customer to approve the payment through their own banking app or online banking.
Zirofi is the merchant-facing software and payment experience layer.
Zirofi is not a bank, wallet, lender, deposit taker, customer account provider, card processor or merchant acquirer.
Zirofi does not ask customers for card details, online banking passwords, banking login credentials or card PINs.
Zirofi does not provide the goods or services being paid for.
2. Business use only
Zirofi is provided for business use only.
You confirm that you are entering into these terms for business purposes and not as a consumer.
You must only use Zirofi for lawful business payments relating to goods or services that you are legally allowed to sell or provide.
3. Your Zirofi account
You are responsible for:
making sure all information you provide to Zirofi is true, accurate, complete and kept up to date;
making sure your users are authorised to use Zirofi on your behalf;
keeping usernames, passwords, login links, devices, API credentials and account access secure;
all activity carried out through your Zirofi account;
telling us immediately if you suspect unauthorised access, misuse, fraud, a data breach or a security issue.
We may refuse, suspend or remove access if we believe your account details are inaccurate, your business is not suitable for Zirofi, your use creates risk, or we are required or asked to do so by law, a regulator, a bank, a payment scheme, a payment infrastructure provider or another relevant third party.
4. Authorised users
You are responsible for every person who accesses Zirofi through your account.
You must make sure each authorised user understands and follows these terms.
You must remove access immediately for any person who is no longer authorised to use Zirofi on your behalf.
You are responsible for all payment pages, payment requests, payment references, customer details and account activity created by your authorised users.
5. Onboarding, checks and merchant acceptance
We may ask you for information before or after allowing you to use Zirofi.
This may include:
business identity information;
director, owner or controller information;
trading name and registered name;
registered address and trading address;
bank account information;
website or social media information;
goods and services information;
licences, registrations or approvals relevant to your business;
transaction volumes, average transaction values and expected use;
financial, risk, fraud, compliance or verification information.
You must provide information we reasonably request for onboarding, verification, risk checks, fraud prevention, compliance, support, investigations, audits, provider requests, bank requests, payment scheme requests, regulator requests or legal obligations.
We may reject or suspend your account if you do not provide information we request, if the information is inaccurate or incomplete, or if your business does not meet our acceptance criteria.
We do not have to give detailed reasons for rejecting, restricting or suspending your use where doing so could compromise security, fraud prevention, compliance, regulatory obligations or provider requirements.
6. Creating payment pages
You may use Zirofi to create payment pages by entering details such as:
payment amount;
payment reference;
customer name, where used;
any other information requested by the Zirofi app.
You are responsible for making sure the payment amount, reference and customer information are correct before sharing the payment page.
When you create a payment page, Zirofi generates a branded customer payment page, link and QR code.
Creating or sharing a Zirofi payment page does not itself create a secure bank payment session and does not itself trigger a Zirofi request fee.
7. Customer payment flow
After you share a Zirofi payment page, your customer may open the link or scan the QR code.
The customer will see payment details such as the merchant name, amount, reference and payment information.
If the customer clicks Pay Now, Zirofi will attempt to create a secure bank payment session through third-party payment infrastructure.
If a usable payment session is successfully created, the customer will be redirected to approve the payment through their own bank, banking app or online banking journey.
The customer’s bank, payment infrastructure providers, open banking providers, payment schemes, payment networks and other relevant third parties may be involved in processing, approving, rejecting, delaying, cancelling, expiring, returning or confirming the payment.
8. Payment statuses
Zirofi may show payment statuses such as:
created, meaning the payment page has been created and the customer has not yet started the secure bank payment;
awaiting payment, meaning the customer has clicked Pay Now, a secure payment session has been created and Zirofi is waiting for the payment result;
completed, meaning Zirofi has received a successful payment status notification from the payment infrastructure provider or related payment systems;
expired, meaning the secure payment session has expired before completion;
failed, meaning the payment has failed;
cancelled, meaning the payment has been cancelled or voided.
Payment statuses are based on information available to Zirofi from its systems, payment infrastructure providers, banks, payment schemes, webhooks and related technical services.
A completed status means Zirofi has received a successful payment status notification. It does not remove your responsibility to check and reconcile your own bank account, accounting records and customer records.
9. Reconciliation and records
You are responsible for maintaining your own records of payments, customers, invoices, goods, services, refunds and disputes.
You must reconcile Zirofi payment information against your own bank account and accounting records.
You must notify us promptly if you believe there is a discrepancy between Zirofi records, your bank account, your accounting records or customer records.
Zirofi dashboards, reports, payment statuses, webhook events, exports and notifications are provided to help you manage payment visibility. They are not a substitute for your own accounting, banking or reconciliation controls.
10. Session expiry and repeat attempts
A Zirofi customer payment page may remain available after it is created.
However, the secure bank payment session created after the customer clicks Pay Now may expire.
If a payment session expires, fails or is cancelled, the customer may not be able to complete payment using the same session. You may need to create a new payment page or contact the customer.
Zirofi may block repeat payment attempts on completed, expired, failed or cancelled payments to reduce duplicate payments, uncontrolled sessions, fraud risk and confusion.
11. Fees
There is currently:
no setup fee;
no monthly subscription;
no percentage-based Zirofi fee;
no Zirofi request fee just for creating or sharing a payment page.
A fixed Zirofi request fee is added when all of the following happen:
the customer clicks Pay Now on the Zirofi payment page;
Zirofi successfully creates a secure bank payment session through payment infrastructure;
Zirofi receives a usable redirect URL for that secure bank payment session.
The Zirofi request fee is not a success fee. Once the fee is triggered, it may still be payable even if the customer later abandons, fails to approve, cancels, disputes, or allows the payment session to expire.
Once triggered, the Zirofi request fee is non-refundable unless Zirofi has charged it in error.
The current Zirofi request fees are:

Zirofi is usually best suited to payments of £250 or more. For smaller everyday payments, your card terminal or another payment method may be more suitable.
Unless we state otherwise, fees are exclusive of VAT.
12. Invoicing and payment of Zirofi fees
During the pilot phase, Zirofi fees may be tracked and invoiced manually on a monthly basis.
You agree to pay all undisputed invoices by the due date shown on the invoice.
We may require you to maintain an approved payment method, including Direct Debit or another approved automated payment method, as a condition of continuing to use Zirofi.
Where an automated payment method is agreed, you authorise us to collect undisputed Zirofi fees and other amounts due under these terms.
We may suspend or restrict your access to Zirofi if undisputed amounts owed to us remain unpaid after we have given reasonable notice.
You are not entitled to withhold payment of undisputed Zirofi fees because of a dispute between you and your customer.
13. Your responsibilities to customers
You are fully responsible for:
the goods or services you sell;
the amount you ask the customer to pay;
the accuracy of the payment reference;
your customer communications;
customer service;
complaints from your customers;
refunds;
cancellations;
fulfilment;
taxes;
legal and regulatory requirements that apply to your business.
Zirofi is not responsible for the underlying contract between you and your customer.
A completed Zirofi payment does not mean Zirofi has checked, approved, verified or guaranteed the goods or services you provide.
14. Refunds and disputes
You are responsible for deciding whether a customer is entitled to a refund.
Unless we agree otherwise in writing, Zirofi does not process refunds on your behalf.
If you need to refund a customer, you are responsible for making that refund using your own bank account, accounting system or another payment method.
You must not tell customers that Zirofi is responsible for refunds, returns, warranties, product quality, service delivery or customer disputes.
You must cooperate with us if we request information about a customer dispute, payment investigation, refund issue, suspected fraud, complaint, provider request, bank request, payment scheme request, regulatory issue or legal issue.
15. Third-party payment infrastructure
Zirofi provides the merchant-facing payment experience layer.
To provide Zirofi, we may use regulated payment infrastructure providers, open banking providers, banks, payment schemes, payment networks, fraud prevention providers, hosting providers, database providers, communications providers, support providers, analytics providers and other technical service providers.
These providers may help us create secure payment sessions, redirect customers to their bank, receive payment status updates, support reconciliation, detect fraud, maintain security, provide customer support, comply with legal obligations, and operate the Zirofi platform.
We may change, add or remove providers from time to time.
We do not usually name all providers in these terms. However, we may identify or disclose details of a provider where required by law, regulation, payment scheme rules, provider requirements, bank requirements, customer consent flows, security checks, compliance checks, onboarding, support, investigations, audits, data protection obligations or the proper operation of a payment.
You agree to comply with any reasonable requirements, operating instructions or payment rules that apply to your use of Zirofi, including requirements passed to us by our payment infrastructure providers, banks, payment schemes, regulators or other relevant third parties.
16. Provider and bank dependency
Zirofi relies on third-party services, including payment infrastructure providers, banks, open banking infrastructure, hosting providers, database providers, connectivity providers and other technical services.
We are not responsible for delays, failures, refusals, errors, outages, downtime, bank unavailability, provider unavailability, payment network issues, payment scheme issues or customer bank issues outside our reasonable control.
We may suspend, restrict or change Zirofi if our provider, a bank, payment network, payment scheme, regulator, law enforcement body or other authority requires or reasonably requests it.
We may add, remove or change provider connections where reasonably required for compliance, risk, security, availability, cost, product improvement or commercial reasons.
17. Money flow, settlement and safeguarding
Zirofi does not provide banking services and does not itself hold customer funds.
Depending on the payment journey, funds may move through or be handled by banks, regulated payment infrastructure providers, payment schemes or other authorised parties.
Any safeguarding, settlement, payout, reserve or refund balance arrangement is provided by the relevant regulated provider, bank or payment infrastructure provider, not by Zirofi, unless we expressly state otherwise in writing.
Payment completion, settlement and availability of funds may be affected by the customer’s bank, your bank, payment infrastructure providers, payment schemes, regulatory checks, fraud checks, operational issues or other third-party processes.
You are responsible for confirming funds have reached the correct business bank account before treating the payment as finally reconciled.
18. Prohibited and restricted use
You must not use Zirofi for any unlawful, fraudulent, misleading, harmful or high-risk activity.
You must not use Zirofi to request or receive payments connected with:
illegal goods or services;
fraud, scams or misleading sales;
money laundering, terrorist financing or financial crime;
weapons or restricted weapons;
counterfeit goods;
illegal drugs;
unlicensed gambling;
adult content or sexual services;
cryptocurrency trading or high-risk financial services;
pyramid schemes;
tobacco products;
sanctioned persons, sanctioned countries, restricted persons, or any activity prohibited by sanctions law;
any activity that Zirofi, our providers, a bank, payment scheme, regulator or law enforcement authority considers unacceptable, excessive risk or reputationally harmful.
You must not use Zirofi to collect payments on behalf of another business, person, website, marketplace, introducer, reseller or third party unless Zirofi has approved this in writing.
We may update our prohibited and restricted use rules from time to time.
We may suspend or terminate your use immediately if we reasonably suspect prohibited or restricted use.
19. Compliance with laws and payment rules
You must comply with:
all laws and regulations that apply to your business;
all laws and regulations that apply to payments you request through Zirofi;
all sanctions laws;
all anti-fraud, anti-money laundering and financial crime requirements that apply to you;
all payment scheme rules, open banking rules, provider requirements and operating instructions that apply to your use of Zirofi.
You must not do anything that causes Zirofi, our providers, any bank, payment scheme or regulated provider to breach any law, regulation, rule or requirement.
20. Security
You must use Zirofi securely.
You must not:
attempt to bypass security controls;
interfere with Zirofi systems;
reverse engineer, copy, scrape, damage or misuse Zirofi;
introduce malware, harmful code or excessive traffic;
use Zirofi to test stolen details, commit fraud or hide unlawful activity;
perform penetration testing or security testing without our written permission;
share access with unauthorised people.
You must maintain reasonable security over your own devices, systems, users, internet access, email accounts, customer records and business systems used in connection with Zirofi.
You must notify us immediately if you become aware of a security issue, unauthorised access, data breach, suspicious payment activity or misuse of Zirofi.
21. Fraud and security tools
Any security, fraud, verification, status, trust wording, alerts or payment checks provided by Zirofi are designed to reduce risk and improve payment visibility.
They do not guarantee that a payment, customer, merchant, bank account, transaction or payment request is genuine, risk-free, final, irreversible or free from fraud.
You remain responsible for deciding whether to accept a customer, release goods, provide services, refund a payment or treat a payment as reconciled.
22. Savings estimates and commercial comparisons
Zirofi may show estimated card fee comparisons, estimated savings, dashboard metrics or other commercial insights.
These figures are illustrative only.
They are not financial advice, accounting advice, tax advice or a guaranteed saving.
Actual savings depend on your card rates, payment values, customer behaviour, payment completion rates, provider costs, refunds, failed payments, disputes and your own business use.
23. APIs, webhooks, exports and integrations
Zirofi may provide or support APIs, webhooks, exports, reports, links or integrations with third-party systems.
These are provided on a reasonable-efforts basis unless we agree specific written service levels.
You remain responsible for checking payment status, reconciling records, managing your accounting system, and confirming whether a customer has paid.
Zirofi is not responsible for losses caused by delayed webhooks, failed integrations, third-party software issues, accounting software issues, email delivery failures, device issues, network issues, or your failure to check and reconcile records.
You must not use any API, webhook, export or integration to build, support or provide a competing payment service.
24. Availability and support
We will use reasonable efforts to keep Zirofi available and working properly.
We do not guarantee that Zirofi will be uninterrupted, error-free, available at all times, or compatible with every device, browser, bank, customer banking app or third-party system.
Support is available through [insert support email].
During early access, pilot or beta use, Zirofi may be changed, interrupted, limited or withdrawn more frequently as we improve the product.
25. Data protection
Each party must comply with applicable data protection laws.
You confirm that you have the right to provide customer information to Zirofi for the purpose of creating and managing payment pages, starting payment sessions, displaying payment status, preventing fraud, providing support, invoicing and operating Zirofi.
Zirofi may process personal data relating to merchant users, customers and payment requests for purposes including:
providing the Zirofi service;
creating payment pages;
starting secure bank payment sessions;
displaying payment status;
preventing fraud and misuse;
maintaining audit logs;
providing support;
invoicing;
complying with legal, regulatory, provider, bank or payment scheme obligations.
We may share personal data with categories of recipients including payment infrastructure providers, banks, open banking providers, payment schemes, hosting providers, database providers, communications providers, fraud prevention providers, analytics providers, support providers, professional advisers, regulators, law enforcement bodies and other parties where required to operate Zirofi or comply with obligations.
Further details will be set out in Zirofi’s Privacy Notice and, where required, a Data Processing Agreement.
26. Confidentiality
Each party may receive confidential information from the other.
Each party must keep the other party’s confidential information confidential and only use it for purposes connected with these terms, unless disclosure is required by law, regulation, a court, a regulator, a payment provider, a bank, a payment scheme or another authority.
27. Intellectual property
Zirofi and its licensors own all rights in the Zirofi platform, software, branding, design, documentation, processes, content, APIs, code, database structure and related materials.
You receive a limited, revocable, non-exclusive, non-transferable right to use Zirofi for your internal business payment collection purposes while these terms apply.
You must not copy, sell, sublicense, modify, reverse engineer or create competing services from Zirofi.
You grant Zirofi a limited right to use your business name, logo and payment information to provide branded customer payment pages and related payment services.
We will not use your name or logo in public marketing unless you have given permission or unless your use of Zirofi is already public and the use is fair and lawful.
28. Suspension
We may suspend, restrict or terminate your access to Zirofi immediately if:
you breach these terms;
you fail to pay undisputed fees when due;
we suspect fraud, misuse, unlawful activity or security risk;
your business becomes unsuitable for Zirofi;
your use creates risk for Zirofi, our providers, a bank, payment scheme or another customer;
we are required or asked to do so by our providers, a bank, payment scheme, regulator, court, law enforcement body or other authority;
your account information is inaccurate or incomplete;
you use Zirofi for prohibited or restricted activities;
you collect payments for third parties without approval;
you undergo a material change in ownership, control, business model or risk profile and do not tell us;
your use creates abnormal, excessive, suspicious or divergent activity.
We will try to give notice where reasonable, but we may suspend immediately where needed to manage risk, comply with requirements or protect Zirofi and its users.
29. Audit and cooperation
You must provide information and reasonable cooperation if requested by Zirofi in relation to your use of Zirofi.
This may include requests connected with:
compliance checks;
provider audits;
bank requests;
payment scheme requests;
regulator requests;
customer disputes;
suspected fraud;
suspicious transactions;
security issues;
data protection issues;
prohibited use investigations;
legal obligations.
If your breach or suspected breach causes Zirofi to incur costs, losses, fines, penalties, audit costs, investigation costs or provider costs, you may be responsible for those amounts.
30. Ending your use of Zirofi
You may stop using Zirofi at any time.
You remain responsible for all fees and liabilities incurred before you stopped using Zirofi.
We may end your access by giving reasonable notice, or immediately where these terms allow suspension or termination.
After termination, you must stop using Zirofi and pay all outstanding amounts.
Sections that by their nature should continue after termination will continue, including payment obligations, confidentiality, intellectual property, data protection, liability, indemnity, governing law, audit cooperation and investigation rights.
31. Warranties and disclaimers
We will provide Zirofi with reasonable care and skill.
Except as expressly stated in these terms, Zirofi is provided on an "as is" and "as available" basis.
We do not guarantee:
that every customer will use Zirofi;
that every bank will support every payment journey;
that every payment will complete;
that every payment status will update instantly;
that Zirofi will always be available or error-free;
that Zirofi will meet every requirement of your business;
that payment infrastructure providers, banks, payment schemes or third-party services will always be available or error-free.
You are responsible for deciding whether Zirofi is suitable for your business and your customers.
32. Liability
Nothing in these terms limits or excludes liability that cannot legally be limited or excluded, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under law.
Subject to the above, Zirofi will not be liable for:
loss of profit;
loss of revenue;
loss of business;
loss of goodwill;
loss of opportunity;
indirect or consequential loss;
customer non-payment;
customer disputes;
incorrect payment amounts entered by you;
incorrect references entered by you;
unauthorised account use caused by your failure to protect access;
bank, provider, payment network, payment scheme or third-party failures outside our reasonable control;
your failure to check your bank account, accounting system or payment records;
delays in settlement or availability of funds outside our reasonable control;
failed, abandoned, expired, cancelled or disputed payment attempts;
your release of goods or provision of services before final reconciliation.
Subject to the above, Zirofi’s total liability to you for all claims arising out of or connected with Zirofi will be limited to the greater of:
the total Zirofi fees paid by you in the 12 months before the event giving rise to the claim; or
£500.
This liability cap does not limit your obligation to pay fees owed to Zirofi.
33. Indemnity
You agree to indemnify Zirofi against losses, claims, costs, fines, penalties, expenses and liabilities arising from:
your breach of these terms;
your breach of law or payment rules;
your goods or services;
your customer disputes;
fraud or misuse by you or your users;
inaccurate information provided by you;
your prohibited or restricted use of Zirofi;
security breaches caused by you or your systems;
claims by customers or third parties relating to your business, goods, services, refunds or payment requests;
your collection of payments for third parties without approval;
any fines, penalties, charges, costs or claims imposed by providers, banks, payment schemes, regulators or authorities because of your breach, misuse or unlawful activity.
34. Changes to Zirofi, fees or these terms
We may change Zirofi from time to time to improve the product, manage risk, comply with law, comply with provider requirements, or support our business.
We may change these terms or our fees by giving reasonable notice.
We may make changes immediately where required by law, regulation, security, provider requirements, payment scheme rules or urgent operational need.
If you continue using Zirofi after changes take effect, you accept the updated terms or fees.
35. Notices
We may contact you using the email address, phone number, app notification, postal address or account contact details you provide.
You must keep your contact details up to date.
Formal notices to Zirofi should be sent to [insert legal notices email] and [insert registered office address].
36. Governing law
These terms are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over disputes relating to these terms.
